Terms of Agreement

These terms set out the rules for using Axxvion software and services. Please read them carefully — by using our apps, you agree to them.

These Terms of Agreement ("Terms") are a legal agreement between you and Axxvion ("Axxvion", "we", "us" or "our") and govern your access to and use of our applications, our website and related services (together, the "Services"). Please also read our Privacy Policy, which is incorporated into these Terms by reference.

1. Acceptance of terms

By downloading, installing, accessing or using any of our Services, you confirm that you have read, understood and agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, do not use the Services.

2. Licence to use our software

Subject to your compliance with these Terms, Axxvion grants you a limited, personal, non-exclusive, non-transferable and revocable licence to download and use our applications on Apple-branded devices that you own or control, as permitted by the Apple Media Services Terms and Conditions and the App Store's Usage Rules. This licence is for your own use and does not transfer any ownership rights to you.

3. App Store & Apple terms

Our applications are distributed through Apple's App Store. Your use of an app obtained from the App Store is also subject to Apple's Apple Media Services Terms and Conditions, including the Licensed Application End User License Agreement (EULA). You acknowledge that:

  • These Terms are between you and Axxvion only, and not with Apple. Apple is not responsible for the Services or their content.
  • Apple has no obligation to provide maintenance or support for the applications. Support is provided by Axxvion at support@axxvion.com.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
  • In the event of any failure of an app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price where required; to the maximum extent permitted by law, Apple has no other warranty obligation.

4. Accounts

Some Services may require you to create an account or sign in (for example, using Sign in with Apple). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorised use. We may suspend or terminate accounts that violate these Terms.

5. Purchases, subscriptions & refunds

Certain Services may be offered as paid apps, in-app purchases or subscriptions. All payments are processed by Apple through the App Store, and prices are shown before you confirm a purchase.

  • Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage or cancel subscriptions in your Apple ID settings.
  • Refunds are handled by Apple in accordance with its policies. You can request a refund at reportaproblem.apple.com.
  • Except where required by law, purchases are non-refundable by Axxvion because payment is managed entirely by Apple.

6. Acceptable use

You agree not to, and not to permit others to:

  • Copy, modify, reverse engineer, decompile or disassemble the Services, except to the extent permitted by law;
  • Rent, lease, lend, sell, redistribute or sublicense the Services;
  • Use the Services to break any law or infringe the rights of others;
  • Interfere with or disrupt the integrity, security or performance of the Services; or
  • Attempt to gain unauthorised access to any systems or networks connected to the Services.

7. Intellectual property

The Services, including all software, designs, text, graphics, logos and the "Axxvion" name and marks, are owned by Axxvion or its licensors and are protected by intellectual-property laws. Except for the limited licence granted above, these Terms do not grant you any rights in our intellectual property. All rights not expressly granted are reserved.

8. Third-party services

The Services may integrate with or link to third-party products and services (including Apple technologies). We are not responsible for the content, policies or practices of any third party, and your use of them may be governed by separate terms. We encourage you to review those terms.

9. Updates & availability

We may release updates, patches and new versions of the Services from time to time, and may add, change or remove features. We may also modify, suspend or discontinue a Service, in whole or in part, at any time. We are not liable to you or any third party for doing so, though we will make reasonable efforts to give notice of significant changes where practical.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure or free of harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Axxvion, its directors, employees or partners be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, goodwill or other intangible losses, arising out of or relating to your use of, or inability to use, the Services. Our total aggregate liability for any claim relating to the Services will not exceed the greater of the amount you paid to Axxvion for the relevant Service in the twelve months before the claim, or ten euros (€10). Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Axxvion and its affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with your misuse of the Services or your violation of these Terms or of any applicable law or the rights of a third party.

13. Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time if you breach these Terms or if we discontinue a Service. Upon termination, the licence granted to you ends and you must stop using and, where applicable, delete the Services. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and indemnification — will continue to apply.

14. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Axxvion is established, without regard to its conflict-of-law rules, and subject to any mandatory consumer-protection rights available to you in your country of residence. You agree to first attempt to resolve any dispute informally by contacting us. If we cannot resolve it, the dispute will be subject to the competent courts of Axxvion's jurisdiction, unless applicable law provides otherwise.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
